1. Acceptance of Terms
By accessing or using Traqly ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you and Traqly. If you do not agree to these Terms, you must not access or use the Service.
Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
2. Description of Service
Traqly is a link intelligence and analytics platform that enables users to:
- Create shortened, trackable URLs with real-time click analytics
- Build trackable social links for WhatsApp, Telegram, Instagram, and other platforms
- Generate custom QR codes and barcodes with scan tracking
- View geographic, device, and referrer analytics for every click
- Manage multiple workspaces, campaigns, and link goals
- Protect links with passwords, expiry dates, and smart routing rules
The Service is offered on a subscription basis with a free tier and paid plans as described on our pricing page.
3. Eligible Users
You must be at least 18 years old to use the Service. By registering for an account, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
- You are not barred from using the Service under any applicable laws
- All information you provide during registration is accurate and current
Traqly is designed for entrepreneurs, businesses, and professionals. Use by individuals under 18 is prohibited without verifiable parental consent.
4. Account Responsibilities
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, whether authorised by you or not
- Notifying us immediately at security@traqly.io of any unauthorised access
- Ensuring your account information remains accurate and up to date
- All workspaces created under your account and their associated content
We will not be liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account with others or allow others to access the Service through your credentials.
5. Subscription & Billing
Plans and pricing. Traqly offers Free, Growth, and Business plans. Prices are listed in Nigerian Naira (NGN) and may be subject to applicable taxes.
Billing cycles. Paid plans are billed monthly or annually at your election. Annual plans are billed as a single upfront payment and are non-refundable except as described below.
Cancellation. You may cancel your subscription at any time from your account settings. Your access to paid features will continue until the end of your current billing period, after which your account will revert to the free tier.
Refunds. Monthly plans: we do not offer refunds for partial months. Annual plans: refunds for unused months may be issued at our discretion within 14 days of annual renewal. Contact billing@traqly.io with any billing disputes.
Price changes. We will provide at least 30 days' notice before changing subscription prices. Your continued use after a price change constitutes acceptance of the new pricing.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service in any way that:
- Violates any applicable Nigerian, African, or international laws or regulations
- Infringes the intellectual property rights of any third party
- Harasses, threatens, defames, or discriminates against any individual or group
- Impersonates any person, company, or entity
- Interferes with or disrupts the integrity or performance of the Service
- Attempts to gain unauthorised access to any part of the Service or its infrastructure
- Resells, sublicenses, or commercialises access to the Service without our written consent
7. Prohibited Content & Links
You must not create links that point to, promote, or distribute:
- Malware, ransomware, spyware, or any malicious code
- Phishing pages, credential harvesting sites, or deceptive content
- Spam or unsolicited bulk communications
- Child sexual abuse material (CSAM) or any content that sexualises minors
- Content promoting violence, terrorism, or extremist ideologies
- Counterfeit goods or fraudulent financial schemes
- Content that violates any individual's privacy rights
- Illegal gambling, unlicensed financial services, or pyramid schemes
We reserve the right to immediately suspend or terminate any account found distributing prohibited content and to report such activity to relevant authorities.
8. Intellectual Property Rights
Our property. The Service, including its software, design, trademarks, logos, and content, is owned by Traqly and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our express written permission.
Your content. You retain all ownership rights to the URLs, links, titles, and content you create through the Service. By using the Service, you grant Traqly a limited, non-exclusive licence to process and display your content solely for the purpose of providing the Service to you.
Feedback. Any feedback, suggestions, or ideas you share with us may be used by Traqly without restriction or compensation to you.
9. Analytics & Data Collection
When a person clicks your Traqly link, we collect click data on your behalf, including geographic location (country, city), device type, operating system, browser, and referrer URL. IP addresses are immediately hashed using SHA-256 and never stored in plaintext.
This analytics data is associated with your links and workspaces and is made available to you through the dashboard. You are responsible for ensuring that your use of click analytics data complies with applicable privacy laws in your jurisdiction, including providing appropriate disclosure to your audience where required.
We do not sell analytics data to third parties. Aggregate, anonymised statistics may be used by Traqly for product improvement and marketing purposes.
10. Third-Party Services & Integrations
The Service may integrate with or link to third-party services, including payment processors (Paystack, Stripe), cloud infrastructure (Vercel, Neon, Upstash), and analytics providers. These third parties have their own terms of service and privacy policies, which you should review independently.
Traqly is not responsible for the availability, accuracy, or content of third-party services, or for any harm arising from your use of them. We make no representations about the suitability or security of any third-party integrations.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRAQLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Service will be accurate or reliable.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRAQLY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our total aggregate liability to you for any direct damages shall not exceed the amount you paid to Traqly in the 3 months immediately preceding the event giving rise to the claim, or ₦5,000, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Traqly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- Your content or the links you create through the Service
- Your violation of any third party's rights, including intellectual property rights
- Your violation of any applicable laws or regulations
14. Account Suspension & Termination
By you. You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed within 30 days, subject to our data retention obligations.
By us. We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the security of the Service or other users.
Upon termination, your right to use the Service ceases immediately. We are not liable to you or any third party for termination of your access.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria, conducted in English under rules agreed upon by both parties.
Nothing in this clause prevents either party from seeking interim injunctive relief from a court of competent jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice on the Service at least 14 days before the changes take effect. For non-material changes, we will update the "Last updated" date above.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
